Minimum Offering: $100,000
Minimum Investment: $100,000 (Company may accept less at its discretion)
Preferred Share Terms:
Face Value: $10.00 per share
Dividend: 8% per annum, payable in cash or kind upon conversion, redemption, or liquidation
Conversion: One-for-one to common stock (subject to anti-dilution adjustment)
Liquidation Preference: Return of Face Value + accrued dividends before common stockholders
Voting Rights: No general voting rights; amendment requires >50% holder consent
Plan of Offering:
“Best efforts, all or none” for the Minimum Amount
After the Minimum is met, the remaining securities are offered on a “best efforts” basis
Offering Deadline: December 31, 2025 (subject to extension or early termination by the Company)
Subscription & Payment:
Payable in USD upon submission of executed Subscription Agreement and Investor Questionnaire
No escrow: funds paid directly to the Company
If the Minimum is not met, funds will be returned without interest
Eligible Investors: Offered to accredited investors under Rule 506(b) of Regulation D and to non-U.S. persons under Regulation S.

Construction of affordable residential units
Commercial build-out (e.g., daycare centers, grocery stores, healthcare services, etc.)

5M Series A Preferred (280,000 outstanding)
